For additional information regarding VLC’s Rozino gold project (“Rozino”) please see the technical report (the “Rozino PEA”) entitled “Preliminary Economic Assessment Rozino Project, Tintyava Property, Bulgaria”, dated October 26, 2018 and prepared by CSA Global Pty Ltd., which can be found on VLC’s profile on SEDAR at www.sedar.com.

All scientific and technical information contained on this Site related to the Company’s GK Project (the “GK Project”) has been reviewed and approved by Jean Paulter, P.Geo., a qualified person for the purposes of NI 43-101. For additional information regarding the GK Project, please see the technical report entitled “Technical Report on the GK Project, Telegraph Creek area, British Columbia”, dated May 31, 2019 and prepared by Jean Pautler, P. Inferred mineral resource estimates with respect to the Rozino PEA are effective September 10, 2018, assumes a gold price of US$1,250/ounce and an exchange rate of CAD$1.00 = US$0.75. Financial results are on a 100% equity basis. The Rozino PEA is preliminary in nature and includes inferred mineral resources (effective date September 10, 2018) that are too speculative geologically to have economic considerations applied to them that would enable them to be categorized as mineral reserves. There is no certainty that the Rozino PEA results will be realized. Mineral resources are not mineral reserves and do not have demonstrated economic viability. The inferred mineral resource was estimated in accordance with the Canadian Institute of Mining, Metallurgy and Petroleum “CIM Definition Standards for Mineral Resources and Mineral Reserves” (CIM, 2014) (“CIM Definition Standards”).

Forward-Looking Statement

This Site and documents posted on this Site contain certain “forward looking statements” and certain “forward-looking information” as defined under applicable Canadian and U.S. securities laws. Forward-looking statements and information can generally be identified by the use of forward-looking terminology such as “may”, “will”, “would”, “should”, “could”, “expect”, “intend”, “estimate”, “anticipate”, “believe”, “continue”, “plans”, “potential” or similar terminology. Forward-looking statements and information are not historical facts, are made as of the date stated and include, but are not limited to, statements regarding Artemis’ expectations, future and strategic plans, projections, objectives, estimates, timelines, guidance and forecasts, mineral resource estimates, metal prices, rights related to our investment in VLC, future programs and studies, as well as statements as to management's expectations with respect to such matters and other statements that are not statements of fact.

These forward-looking statements involve numerous risks and uncertainties and actual results may vary. Important factors that may cause actual results to vary include without limitation, risks related to: the timing and receipt of certain approvals; our ability to obtain and secure adequate financing; changes in commodity and power prices; changes in interest and currency exchange rates; risks inherent in exploration estimates and results, timing and success, inaccurate geological and metallurgical assumptions (including with respect to the size, grade and recoverability of mineral reserves and resources); changes in development or mining plans due to changes in logistical, technical or other factors; unanticipated operational difficulties (including failure of plant, equipment or processes to operate in accordance with specifications; cost escalation; unavailability of materials; equipment and third party contractors, delays in the receipt of government approvals, industrial disturbances or other job action, and; unanticipated events related to health, safety and environmental matters), political risk, social unrest; changes in general economic conditions or conditions in the financial markets; Artemis’ material contracts, including but not limited to, its agreements with VLC and Strategic Metals Ltd.; title to the Company’s mineral properties; Artemis’ history of losses and expectation of future losses; increased competition in the mining industry; our need to attract and retain qualified management and technical personnel; conflicts of interests of some of our directors; global climate change; and market events and general global economic conditions.

In making the forward-looking statements on this Site, Artemis has applied several material assumptions, including without limitation, the assumptions that: (1) market fundamentals will result in sustained mineral demand and prices; (2) the receipt of any necessary approvals and consents in connection with the development of any properties; (3) the availability of financing on suitable terms for the planned activities and development of any mineral properties; and (4) sustained commodity prices such that any properties put into operation remain economically viable.

The actual results or performance by Artemis could differ materially from those expressed in, or implied by, any forward-looking statements relating to those matters. Accordingly, no assurances can be given that any of the events anticipated by the forward-looking statements will transpire or occur, or if any of them do so, what impact they will have on the results of operations or financial condition of Artemis. Except as required by law, Artemis is under no obligation, and expressly disclaim any obligation, to update, alter or otherwise revise any forward-looking statement, whether written or oral, that may be made from time to time, whether as a result of new information, future events or otherwise, except as may be required under applicable securities laws.
